We routinely deal with M&A transactions, including acquisitions and sales of shares, companies and assets, mergers and divisions, equity transactions, issue of bonds, securities and financial instruments, as well as debt restructuring and composition with creditors.
We advise on co-investment operations, structuring industrial or real estate club deals and equity or debt investments in private companies.
Wealth management and family business
Having a consolidated expertise in supporting entrepreneurial families, and being aware of the numerous risks they face, we provide advice aimed at protecting and managing their wealth in the most forward-looking and efficient way.
We deal with the reorganization, protection and management of whole family assets, including succession planning, providing the most appropriate legal and tax solutions and instruments (including: partnerships, capital and holding companies; trusts and fiduciary entrusting agreements; Foundations under Italian and foreign law; donations and family agreements; fiduciary mandate with and without name spending; shareholdings’ communion and shareholders’ agreements; testamentary provisions; patrimonial fund and destination restrictions; life insurance policies under Italian and foreign law).
Special attention is given to family business and the planning of its generational handover, regulating family members’ agreements and the corporate governance structure.
Our experience in private international law and European Union law, as well as an extensive international professional network, allows us to easily deal with transnational situations.
Commercial and real estate contracts
We support companies in their daily business, drafting – or reviewing – all commercial contracts, even international (including: supply, distribution, agency, franchising, joint venture, license, lease, rental, etc.), from documents’ examination and preparation to negotiation and closing.

Litigation and arbitration
We have a consolidated experience in litigation, with a special know-how in disputes regarding civil and commercial, banking, financial and insolvency, as well as inheritance and trust law matters.
Special attention has always been given to corporate conflicts (challenge of shareholders’ and board resolutions, liability actions against management and auditors, etc.).
Our advice is provided from the pre-litigation phase, offering a precise cost-benefit analysis of the judicial proceeding, compared to an out-of-court definition.
We act both before judicial authorities and arbitration boards, assisting companies, banks, insolvency administrators, company directors, and members of the Supervisory board or auditors.
Corporate criminal law and administrative liability
We provide preventative counselling for the management of criminal risk and the preparation and updating of proxies and organizational models (Legislative Decree No. 231/2001), allowing the entrepreneur to prevent criminal behaviour and in order to assure – should any breach of the law occur – a prompt and decisive intervention.
Our attorneys have a special expertise in economic and white-collar crimes (corporate, bankruptcy, tax, financial, banking and customs), workplace and environmental safety, and patents’ and industrial property crimes.
